Welcome to SHIPLORE (OPC) PRIVATE LIMITED ("the Website"), a platform designed for Manufacturers, Distributors, and Retailers to engage in e-commerce activities. By accessing or using our platform, you agree to abide by these Terms and Conditions ("Terms"). Please read these Terms carefully before registering on the Website.
1. Platform Categories
When registering on SHIPLORE (OPC) PRIVATE LIMITED, you must select one of the following categories based on your role:
· Manufacturer
· Distributor / Wholesaler
· Seller / Retailer
Each category has specific rights and responsibilities, as outlined below.
2. Manufacturer
Manufacturers create and sell products directly to Distributors via SHIPLORE (OPC) PRIVATE LIMITED.
· Product Listings & Pricing: Manufacturers must provide both the actual price and the selling price of their products. The selling price must be higher than the actual price.
· Return Policy: Manufacturers may define their return policies. If no policy is specified, SHIPLORE (OPC) PRIVATE LIMITED will allow Distributors to raise return requests within 48 hours of delivery.
· Commission Structure: SHIPLORE (OPC) PRIVATE LIMITED charges a commission on each sale once the product is delivered and is no longer eligible for return or refund.
· Delivery Responsibilities: If SHIPLORE (OPC) PRIVATE LIMITED manages delivery, all associated costs, including return expenses, are borne by the Manufacturer. If the Manufacturer manages delivery, SHIPLORE (OPC) PRIVATE LIMITED assumes no responsibility.
· Refunds & Replacements: Manufacturers must handle all refund, return, and replacement requests.
3. Distributor
Distributors purchase products from Manufacturers and resell them to Retailers.
· Product Listings & Pricing: Distributors must provide both the actual price and the selling price, ensuring the selling price is higher than the actual price.
· Return Policy: Distributors may define their return policies. If no policy is specified, SHIPLORE (OPC) PRIVATE LIMITED will allow Retailers to raise return requests within 48 hours of delivery.
· Commission Structure: SHIPLORE (OPC) PRIVATE LIMITED charges a commission on each sale after delivery and once the return/refund period expires.
· Delivery Responsibilities: If SHIPLORE (OPC) PRIVATE LIMITED manages delivery, all associated costs, including return expenses, are borne by the Distributor. If the Distributor handles delivery, SHIPLORE (OPC) PRIVATE LIMITED assumes no responsibility.
· Refunds & Replacements: Distributors are responsible for all refund, return, and replacement requests.
4. Seller
Retailers purchase products from Distributors and resell them to end customers via the SHIPLORE (OPC) PRIVATE LIMITED app.
· Product Listings & Pricing: Retailers must specify the MRP (Maximum Retail Price) and selling price. The selling price must be less than or equal to the MRP.
· Return Policy: Retailers may define their return policies. If no policy is specified, SHIPLORE (OPC) PRIVATE LIMITED allows customers to raise return requests within 48 hours of delivery.
· Commission Structure: SHIPLORE (OPC) PRIVATE LIMITED charges a commission on each sale after delivery and once the return/refund period expires.
· Delivery Responsibilities: If SHIPLORE (OPC) PRIVATE LIMITED manages delivery, all associated costs, including return expenses, are borne by the Seller. If the Seller handles delivery, SHIPLORE (OPC) PRIVATE LIMITED assumes no responsibility.
· Refunds & Replacements: Retailers are responsible for managing all refund, return, and replacement requests.
5. Return, Refund, and Replacement Policy
This policy applies to Manufacturers, Distributors, Retailers, and Customers to ensure transparency and fair handling of returns, refunds, and replacements.
Manufacturers:
Must clearly define return policies for their products.
If no policy is provided, Distributors can initiate returns within 48 hours of delivery.
Must handle replacement or refund claims directly.
Return shipping costs must be borne by the Manufacturer unless stated otherwise.
Distributors:
Must specify return policies for products.
If no policy is provided, Retailers can raise return requests within 48 hours of delivery.
Responsible for handling refund and replacement claims from Retailers.
Return shipping costs are the Distributor’s responsibility unless explicitly stated.
Retailers:
Must outline clear return policies for customers.
If no policy is provided, customers can initiate returns within 48 hours.
Responsible for refunding or replacing products for customers.
Return shipping costs must be covered by the Seller unless stated otherwise.
Customers:
Can initiate return/refund requests within the return window provided by the Seller.
Refunds are processed within 7 business days after product return approval.
Replacements are subject to product availability.
Certain products, like perishable goods and personal-use items, may not be eligible for returns unless damaged.
7. Legal Compliance & Documentation
SHIPLORE (OPC) PRIVATE LIMITED maintains the following legal documents to ensure compliance:
PAN Card
Adhar Card
GST No.
Income Tax Registration
e-Articles of Association
e-MOA (Memorandum of Association)
DIN Approval (Director Identification Number)
These documents confirm the legal standing and authenticity of SHIPLORE (OPC) PRIVATE LIMITED as a registered e-commerce business.
6. General Platform Terms
· Registration: Users must provide accurate business information during registration (e.g., GST, FSSAI, etc., depending on their business type).
· Category Selection: Users must select the appropriate platform category (Manufacturer, Distributor, or Seller) and abide by the respective rights and obligations.
· Commission Structure: SHIPLORE (OPC) PRIVATE LIMITED's commission percentage will be determined through mutual consent.
· Platform Usage: Users must ensure all product listings and transactions are accurate and lawful.
· Payment Terms: Payments will be processed as per the platform’s policies, with applicable commission deductions.
· Wallet Creation: Wallet verification is mandatory during registration. All payments received, returns, and other transactions will be credited to this wallet. A minimum balance of ₹5000 is required for bank transfers, which will take at least 2 days. For transfers exceeding ₹1 lakh, a 1% convenience fee will be charged by SHIPLORE (OPC) PRIVATE LIMITED.
· Data Protection: By using SHIPLORE (OPC) PRIVATE LIMITED, users agree to the Privacy Policy governing data collection, storage, and use.
· Intellectual Property: All content on SHIPLORE (OPC) PRIVATE LIMITED is protected by intellectual property laws and cannot be used without permission.
7. Rules for Customers
· Registration: Customers can register via their mobile number through the app.
· Free Delivery: Free delivery is available if the Seller manages their own delivery (if within a defined location range). Otherwise, charges will apply.
8. Product-Specific Policies
Medicine & Pharmaceutical Products:
· Only authorized Retailers with a valid license can list and sell medicine.
· Prescription-based medicines require a valid prescription before dispatch.
· No returns are allowed for medicines unless they are damaged or expired at the time of delivery.
Footwear:
· Retailers must specify size charts and return policies clearly.
· Returns are allowed within 7 days of delivery if the product is unused and in original packaging.
Gourmet Food & Perishable Items:
· Retailers must comply with FSSAI regulations.
· No returns are accepted for perishable items unless they are damaged upon delivery.
Vegetables & Fresh Food:
· Must be delivered within a short time frame to ensure freshness.
· Refunds are only applicable if reported within 6 hours of delivery.
· Quality assurance checks must be performed before dispatch.
8. Customer Support Policies
· Queries must be responded to within 24 hours.
· Disputes will be resolved within 7 business days.
9. Seller Performance Metrics
· Late deliveries, incorrect listings, and frequent return requests may result in penalties or account suspension.
10. Advertising & Promotions
· Retailers can promote products on SHIPLORE (OPC) PRIVATE LIMITED, subject to approval and additional charges.
11. Brands:
SHIPLORE (OPC) PRIVATE LIMITED is not affiliated with any brand. We only showcase brand-related products that are available from our registered Manufacturers, Distributors / Wholesalers, and Retailers. SHIPLORE (OPC) PRIVATE LIMITED does not own or have exclusive agreements with any brand.
12. Restricted & Prohibited Items
· Items that violate local laws, including counterfeit products, hazardous materials, and illegal goods, are strictly prohibited.
13. Termination of Account
SHIPLORE (OPC) PRIVATE LIMITED reserves the right to suspend or terminate any account if the Terms and Conditions are violated.
14. Limitation of Liability
SHIPLORE (OPC) PRIVATE LIMITED is not liable for indirect, incidental, or consequential damages arising from platform usage, including delivery, returns, refunds, or disputes between users.
15. Governing Law
These Terms shall be governed by the laws of [Insert Jurisdiction]. Any disputes shall be resolved in the courts of [Insert Jurisdiction].
16. Modifications
